General Terms – All Users

1. YOUR RELATIONSHIP WITH US

Welcome to Feishu (the “Platform”), a multi-platform office management / communications and collaboration tools from Beijing Feishu Technology Co., Ltd. (“Feishu Technology”, “we” or “us”) providing functions of, among others, bi/multi-lateral text, picture, and voice instant messaging services, management, enterprise contact list, Docs, calendar, voice and video calls, video conferencing and emails, as well as interconnection services with other software .

These terms of service for platform user (these “Terms”) constitute an agreement between you and us and set forth the terms and conditions by which you may access to and use the Platform and related websites, services, applications, products and content operated or provided by Feishu Technology or its affiliates (collectively, the “Services”). For purposes of these Terms, “you” and “your” means you as the user of the Services.

These Terms form a legally binding agreement between you and us. We hereby specially remind you that you should carefully read and fully understand all provsions of this agreement, in particular, the provisions on exemption from or relief of our liabilities, limiations on your rights, dispute resolution, or governing law and so forth. The provisions on limitations or exemption from liabilities may be in font bold or underlined for reminding a user. A user shall prudently read and select to accept or not to accept this agreement.

2. Acceptance of these Terms

By accessing to or using our Services, you confirm that you have the capacity for civil rights and the capacity for civil conducts that are required to conclude a binding contract with Feishu Technology, and you accept and agree to comply with these Terms. Your access to and use of our Services is also subject to our Feishu Privacy Policy, including any supplement term which are included into such Additional Agreements and made available to you from time to time. The terms and conditions of Supplementary Agreements provided to you by us from time to time. Such Supplementary Agreements can be found directly on the Platform, on our website, or where the Platform is made available for downloading, and are incorporated into these Terms by reference hereto.

If you are accessing to or using the Services on behalf of any corporation or entity, then you shall undertake that you have obtained the full authorization from such corporation or entity to accept and perform this agreement on behalf of such corporation or entity, in which case such corporation or entity shall be held legally and financially liable for the following conduct: your access to and use of the Services as well as for the use of your account by others affiliated with such corporation or entity, including any employees, agents or contractors thereof.

Your access to or use of the Service shall be deemed as your acceptance of these Terms. You understand and agree that from the moment of your access to or use of the Services, we will treat it as your acceptance of these Terms.

3. CUSTOMERS AND AUTHORIZED USERS

If your employer (or entity with which you are otherwise engaged) or any other business entity has entered into a separate subscription agreement with Feishu Technology or its affiliates for your use of the Services (a “Subscription Agreement”), and such entity authorizes and invites you to use the Services, then such employer or other business entity will be referred to herein as a “Customer”.

Users (including you) that have been invited to use the Services by a Customer are referred to as an “Authorized User”. The Customer may invite you to use the Services by sending you a verification code that allows you to create an account for the Services as an Authorized User of such Customer. You agree not to share or distribute such verification code with or to any other person other than the personnel of the Customer that has invited you to use the Services. Or else, you shall bear corresponding legal liabilities for breach of these Terms. You also agree that the Customer may share your contact information with us following obtainment of your authorization, in order to facilitate the use of the Service by you and other Authorized Users of such Customer. Collection, use, and sharing by such Customer of your information shall comply with the requirements of relevant laws and regulations. We process your information only as required by such Customer and we may assume no legal liability for relevant actions of such Customer. You should carefully read the provisions of the Feishu Privacy Policy on those circumstances.

According to the nature of the services provisions by us to the Customer and you, you shall be entitled to have access to relevant contents of the Subscription Agreement from the Customer and you are obligated to abide by the contents of the Subscription Agreement. We are not obligated to inform you of the contents of the Subscription Agreement. In the event of a conflict between these Terms and the Subscription Agreement, with respect to your use of the Services, the terms of the Subscription Agreement shall prevail.

When you are using the Services as an Authorized User of the Customer, you acknowledge that the Services are provided for the use of any corporation or entity as a working tool rather than for your personal consumer use.

4. Changes to these Terms

We may amend these Terms from time to time, for instance, when we update the functionality of our Services or when regulatory provisions changes. We will use reasonable efforts to provide a reasonable notice to all users of any material change to these Terms, such as through a notice on our Platform, however, you should read these Terms at regular intervals to check for any change. We will also update the “Date Updated” date and the “Effective Date” at the top of these Terms. Your continued access to or use of the Services after the date of the updating shall be deemed as your acceptance of the new Terms. If you do not agree to the new Terms, you must stop accessing to or using the Services.

5. Your Account with Us

We serve you through the Feishu account. You can register your Feishu account through this software. You can also register your Feishu account through other software provided by Feishu Technology. If you register and use your Feishu account through this software, you are required to comply with the Feishu User Agreement and the Feishu Privacy Policy. You have the right to choose a legitimate and Feishu-acceptable character combination as your account and set your own password in compliance with security requirements. The account number and password you have set up are the proofs you use to log in and use this software and other software and related services provided by Feishu Technology, as a registered user.

You may also log in and use Feishu Docs and related services using a third-party account or an internal account assigned by your company (depending on the cooperation of the company). You will authorize us to obtain the information (name, avatar and other information authorized by you) disclosed when you are registering on a third-party platform or in an internal company account, for binding the account so that you can log in directly and use Feishu and related services.

You understand and agree that, in addition to your login and use of this software, you may use your Feishu account to log in and use other software and services provided by Feishu Technology, its affiliates and controlled companies. When you log in with your Feishu account and use the above-mentioned services, you will be bound by the user agreements and other agreements of the actual provider of other software and services.

After a Customer acquires the rights to use the Services and the Feishu account by the means as designated by Feishu Technology or the channel of subscription, Feishu Technology will allocate corresponding administrator account for corporate user, by which the Customer may, upon approval, upload and manage member contact list.

When using the Services after introduced by the administrator account for corporate user, you shall ensure that the identity information or such other information submitted by you is authentic, accurate, complete and reflecting the current conditions of you. You understand and warrant that no information used by you for using the Services, such as your account name, avatar, and brief introduction, and such other personal information is illegal or harmful, that you shall not act in the name of any other person (including but not limited to falsely using such person’s name, trade name, avatar, or any other information that is sufficient to cause confusion) without permit of such person, and that you shall abide by relevant laws and regulations and shall not commit any act that may harm the national interests, any other citizen’s lawful rights or interests, or social morality when you use the Feishu account. Feishu Technology reserves the right to review your account information.

You understand and agree that the title to this software account and relevant rights thereto and relevant interests therein shalll be owned by Feishu Technology and that you only have the right to use the account after you complete the initial login. Your account may only be used by yourself and, without written consent of Feishu Technology, you are prohibited to give, lend, lease, transfer, sell or sell your account to any other person, or otherwise permit any other person to use your account. In the event that Feishu Technology finds or reasonably believes that the user of the account is not the initial registrant of the account, Feishu Technology may, without notifying you, suspend or terminate provision of services to such account and cancel such account without assuming any legal liability to the user of such account. Any and all losses incurred by you for the vacuum out or loss of all your data or information (including but not limited to employee information, customer information, and chatting records) generated in the process of your use of the Services shall be borne by yourself solely. If the account is an administrator account for corporate user, Feishu Technology may cancel and delete such administrator account and all information and relevant rights and interests of the members in the contact list constituted on the basis thereof under such entity, including but not limited to terminating the service relationship with such entity, dissolving the corporate contact list, calling off the rights and interests of the members in the contact list related to such entity, and deleting all information stored in the administrator account as well as all information of the members in the contact list constituted on the basis thereof under s such entity.

You shall be responsible for maintaining the security and confidentiality of your personal account and you shall be solely liable for and Feishu Technology may assume no liability caused by theft or loss of your account due to your own fault or any force majeure.

You fully understand and agree that you must be solely liable for all acts conducted under your account, including any content published by you and consequences resulted therefrom. You shall use your own judgement to deal with the contents to which you may have access to when using the Services and assume all risks that may arise from your use of those contents, including the risks arising from your reliance on the correctness, completeness, or practicability of those contents. Feishu Technology is unable to and will not assume any liability for any loss or damage that may be caused to you for the aforementioned risks.

After you have registered, logged in and authenticated your Feishu account, you can browse and modify your submitted personal identity information at any time if you are an individual user; if you are an employee user, you need to modify your submitted personal identity information through the corporate administrator of your organization. You understand and agree that you may not be able to modify the initial registration information and other authentication information provided at the time of registration due to security and identification (such as account or password retrieval complaint services, etc.). If you are an individual user, you can also apply to cancel your account. Feishu Technology will assist you to cancel your account after completing reasonable and necessary verification of personal identity, security status, equipment information, infringement complaints, etc., and delete all information about your account according to your request, unless otherwise provided by laws and regulations; if you are an employee user, you need to delete your account through the corporate administrator of your organization.

6. Your Access to and Use of Our Services

Subject to the terms and conditions of these Terms, you are hereby granted a non-exclusive, limited, non-transferable, non-sublicensable, revocable license to access and use the Services, including to download the Platform on a permitted device, and to access the Feishu Technology Content through your use of the Services. Feishu Technology reserves all rights not expressly granted herein in the Services and the Feishu Technology Content. You acknowledge and agree that Feishu Technology may terminate this license for any reasonable reason if you commit any breach of these Terms.

Your access to and use of the Services is subject to these Terms and all applicable laws and regulations. You may not:

conclude these Terms in the event that you have no full and legal capacity for civil right, capacity for civil conduct, or any required authorization or access or use the Services in the event that you have no capacity for civil rights or capacity for civil conducts as you are under the age of 18 or for any other reason (such as failure to reach the legal adult age stipulated by the your country);

beyond the greatest extent permitted under applicable law, modify, adapt, translate, reverse engineer, disassemble, decompile or create any derivative works based on the Services, including any files, tables or documentation (or any portion thereof) or determine or attempt to determine any source code, algorithms, methods or techniques embodied the Platform or any derivative works thereof;

distribute, license, transfer or sell, in whole or in part, any of the Services or any derivative works thereof;

market, rent or lease the Services for a fee or charge, or use the Platform to advertise or perform any commercial solicitation;

interfere with or attempt to interfere with the proper working of the Services, disrupt our website or any networks connected to the Services, or bypass any measures we may use to prevent or restrict access to the Services;

incorporate the Platform or any portion thereof into any other program or product. We reserve the right to refuse service, terminate accounts or limit access to the Services in our sole discretion;

use automated scripts to collect information from or otherwise interact with the Services;

impersonate any person or entity, or falsely state or otherwise misrepresent you or your affiliation with any person or entity, including giving the impression that any content you upload, post, transmit, distribute or otherwise made available emanates from the Services;

in the process of use of the Services, intimidate or harass another, or promote sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

use or attempt to use another’s account, service or system without authorisation from Feishu Technology, or create a false identity on the Services;

use the Services in a manner that would violate any applicable laws;

without consent from Feishu Technology and other relevant third parties or in violation of applicable laws or regulations, use the Services on nuclear facilities, military purposes, medial facilities or public transportations and other restricted or sensitive industries or scope, or communicate, transfer, share, publish, disseminate or leak any state secrets or trade secrets;

use the Services in a manner that may create a conflict of interest or undermine the purposes of the Services; or

in the process of use of the Services, upload, transmit, distribute, store or otherwise make available in any way (including for the purposes of creating and/or streaming content) the following contents:

files that contain viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful;

any unsolicited or unauthorised advertising, solicitations, promotional materials, “junk mail”, “spam”, “chain letters”, “pyramid schemes”, or any other prohibited form of solicitation;

any collection, spreading, or storage of any private information of any third party, including addresses, phone numbers, email addresses, number and feature in the personal identity document (e.g., National Insurance numbers, passport numbers) or credit card numbersto the extent that is without authorization by such third party;

any content which does or may infringe any copyright, trademark or other intellectual property or privacy rights of any other person;

any content which is defamatory of any person, obscene, offensive, hateful or inflammatory;

any content that would constitute, encourage or provide instructions for a criminal offence, dangerous activities or self-harm;

any content that is deliberately designed to provoke or antagonise people, especially trolling, or is intended to harass, scare, distress, embarrass or upset people;

any content that contains a threat of any kind, including threats of physical violence;

any content that is racist or discriminatory, including discrimination on the basis of someone’s race, religion, age, gender, disability or sexuality;

any answers, responses, comments, opinions, analysis or recommendations that you are not properly licensed or otherwise qualified to provide; or

content that, in the sole judgment of Feishu Technology, is objectionable or which restricts or inhibits any other person from using the Services, or which may expose Feishu Technology, the Services or its users to any harm or liability of any type.

We reserve the right, at any time and without prior notice, to remove or disable access to content at our discretion for any reasonable reason. Some of the reasonable reasons we may remove or disable access to content may include but are not limited to finding the content objectionable, in violation of these Terms, or otherwise harmful to the Services or our users.

7. Intellectual Property Rights

We respect intellectual property rights and ask you to do the same. As a condition of your access to and use of the Services, you agree not to use the Services to infringe any intellectual property rights, for example uploading or sharing copyrighted material of a third party without their consent. If you breach the provisions of this clause, we have the right, with or without a notice to you, at any time and in our sole discretion to block access to and/or terminate the accounts of any user who infringes or is alleged to infringe any copyrights or other intellectual property rights.

8. Content

A．Your Use of Feishu Technology Content

As between you and Feishu Technology, content on the Services (except User Content (as defined below)), including the text, software, logos, patents, trademarks, service marks, copyrights, and “look and feel” of the Services, and all intellectual property rights related thereto (“Feishu Technology Content”), is either owned or licensed by Feishu Technology.

You may access Feishu Technology Content for your use solely as intended through the provided functionality of the Services and as permitted under these Terms.

Use of Feishu Technology Content or materials from the Services for any purpose not expressly permitted by these Terms is strictly prohibited. You shall not copy, reproduce, distribute, transmit, broadcast, display, sell, license, or exploit in any other manner not expressly permitted herein any Feishu Technology Content for any purpose whatsoever without our or our licensors’ prior written consent (if applicable). We and our licensors reserve all rights not expressly granted in and to their content.

You acknowledge and agree that when you view content provided by others on the Services (including any User Content), you are doing so at your own risk. You agree not to use, reproduce, copy, transmit, broadcast, distribute, display, sell, license or exploit in any other manner not expressly permitted herein such content for any purpose, without the express consent of the person who owns the rights to such User Content.

Our Platform and/or Services may contain links or allow you to directly access other online services and resources provided by third parties. We are unable to control your use of such third party services or resources. Unless it is otherwise agreed in these Terms, your use of the services or resources of a third party shall be bound by the agreement executed by and between you and relevant third party and we may assume no liability for your use of the services or resources of any third party. Such links or access rights should not be interpreted as approval by us of those third party services or resources or any information you may obtain from them.

You acknowledge that we have no obligation to pre-screen, monitor, review, or edit any content written or posted by you and other users on the Platform (including User Content). You further understand and acknowledge that you may be exposed to content through the use of the Services that is offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Feishu Technology with respect thereto, and, to the extent permitted by applicable law, agree to fully indemnify and hold harmless the parties whose rights and interests are damaged as Feishu Technology and its owners, operators, affiliates, licensors, and licensees regarding all matters related to your breach of this Agreement or infringement upon others’ rights in the process of your use of the Services according to the provisions of applicable laws and regulations.

User Content

Users may be permitted to upload, post, submit, or send messages, chats, documents, calendar information, communications or any other content (“User Content”) to or through the Services. Users may also overlay or add graphics, stickers, emojis and other elements provided by Feishu Technology (“Feishu Technology Elements”) onto User Content and transmit User Content through the Services. The information and materials in the User Content, including User Content that incorporates Feishu Technology Elements, have not been verified or approved by us. Feishu Technology does not endorse any User Content submitted to or sent through the Services by any user or other licensor, or any opinion, recommendation, or advice expressed therein.

[Whenever you make use of a feature that allows you to upload or transmit User Content through the Services or allows you to make contact with other users of the Services, you must comply with the standards set out at “Your Access to and Use of Our Services” above. You warrant that any such User Content that you upload, transmit or otherwise make available through the Services does comply with those standards, and you shall be legally liable to us and indemnify us for any breach of that warranty. This means you shall indemnify us against any loss or damage we suffer resulting from your breach of warranty.]

When you submit User Content through the Services, you agree and represent that you own that User Content, or you have received permission from, or are authorized by, the owner of any part of such User Content to submit it to the Services.

Further, by posting, submitting or sending your User Content to or through the Services you grant us (and the applicable Customer that has invited you to the Service and our contractors and suppliers) a worldwide license at no cost to use, copy, download, and display your User Content for the limited purpose of operating and improving the Services and providing your User Content within the Services to other users at your direction, and for any other purpose that you consent to and that is consistent with applicable law, these Terms and the Feishu Privacy Policy. In addition, by sharing your User Content with other users of the Services you agree that you are granting those users at no cost the right (including any intellectual property or related rights and any necessary waivers or consents) to make unrestricted use of your User Content. You undertake that you will only post, submit, send and share to or through the Services your User Content in which you are willing and able to grant the above rights.

We do not claim any ownership rights in your User Content. If you use the Service as an Authorized User of a Customer, please be aware that we provide such Customer with many choices and control over that User Content. For example, a Customer may enable or disable an Authorized User’s access to the Services, enable or disable third party integrations, manage permissions, retention and export settings, and many other choices. These decisions and instructions may result in the access, use, disclosure, modification or deletion of certain or all User Content.

The Services are not a storage service and we cannot and do not provide back-up copies of your User Content or any other content which other users post, submit or send to or through the Services. Note that other users may continue to use and allow other persons to use your User Content independently, even after such User Content has been deleted from the Services, for example, if the user has created copies of your User Content and stored such User Content on their own account.

You shall be solely responsible for your own User Content and the consequences of posting, submitting or sending your User Content on or to the Services. You further agree that you will not submit to the Services any User Content or other material that is contrary to applicable local, national, and international laws and regulations.

User Content Warranty: You represent and warrant that your User Content shall not:

be pornographic or obscene, or contain sexually explicit content or child pornography;

defame or denigrate, nor impersonate or misrepresent, other persons;

infringe privacy, data protection law or rights of publicity or confidentiality;

incite racial or religious hatred;

threaten, harass, intimidate or incite violence against any individual or group;

be unlawful or encourage unlawful activity including use or sale of prohibited drugs, terrorism or crime;

advertise or promote business, political or religious activities; or

infringe any patent, trademark, trade secret, copyright, or other intellectual or proprietary or privacy right of any party or individual.

We accept no liability in respect of any content submitted by users and published by authorized third parties.

We have the right to remove any User Content (including message or posting you make on our Platform) without prior notice if, in our opinion, your User Content does not comply with these Terms, including the content standards set out at “Your Access to and Use of Our Services” above.

Feishu Technology takes reasonable measures to expeditiously remove from our Services any infringing material that we become aware of. It is Feishu Technology’s policy, in appropriate circumstances and at its discretion, to disable or terminate the accounts of users of the Services who infringe copyrights or intellectual property rights of others.

9. Indemnity

To the maximum extent permitted by applicable law, you agree that you shall be obligated to make true, accurate, and complete representations to judicial organs for, fully indemnify, and hold harmless Feishu Technology, its parents, subsidiaries, and affiliates, and each of their respective officers, directors, employees, agents and advisors from any and all claims, liabilities, costs, and expenses, including, but not limited to, attorneys’ fees and expenses, arising out of a breach by you or any user of your account of these Terms or arising out of a breach of your obligations, representation and warranties under these Terms.

10. Exclusion of Warranties

THE PROVISIONS SET FORTH IN SECTION 10 AND 11 ARE SUBJECT TO THE SUBSCRIPTION AGREEMENT AND ANY REPRESENTATION AND WARRANTIES MADE BY FEISHU TECHNOLOGY THEREIN. NOTHING IN THESE TERMS SHALL AFFECT ANY STATUTORY RIGHTS THAT YOU CANNOT CONTRACTUALLY AGREE TO ALTER OR WAIVE AND ARE LEGALLY ALWAYS ENTITLED TO AS A CONSUMER.

THE SERVICES ARE PROVIDED “AS IS” AND WE MAKE NO WARRANTY OR REPRESENTATION TO YOU WITH RESPECT TO THEM. IN PARTICULAR WE DO NOT REPRESENT OR WARRANT TO YOU THAT:

YOUR USE OF THE SERVICES WILL MEET YOUR REQUIREMENTS;

YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR FREE FROM ERROR; AND

DEFECTS IN THE OPERATION OR FUNCTIONALITY OF ANY SOFTWARE PROVIDED TO YOU AS PART OF THE SERVICES WILL BE CORRECTED.

NO CONDITIONS, WARRANTIES OR OTHER TERMS (INCLUDING ANY IMPLIED TERMS AS TO SATISFACTORY QUALITY, FITNESS FOR PURPOSE OR CONFORMANCE WITH DESCRIPTION) APPLY TO THE SERVICES EXCEPT TO THE EXTENT THAT THEY ARE EXPRESSLY SET OUT IN THE TERMS. WE MAY CHANGE, SUSPEND, WITHDRAW OR RESTRICT THE AVAILABILITY OF ALL OR ANY PART OF OUR PLATFORM FOR BUSINESS AND OPERATIONAL REASONS AT ANY TIME WITHOUT NOTICE.

11. Limitation of Liability

NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT OUR LIABILITY FOR LOSSES WHICH MAY NOT BE LAWFULLY EXCLUDED OR LIMITED BY APPLICABLE LAW. THIS INCLUDES LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE OR THE NEGLIGENCE OF OUR EMPLOYEES, AGENTS OR SUBCONTRACTORS AND FOR FRAUD OR FRAUDULENT MISREPRESENTATION.

SUBJECT TO THE PARAGRAPH ABOVE, WE SHALL NOT BE LIABLE TO YOU FOR:

(I) ANY LOSS OF PROFIT (WHETHER INCURRED DIRECTLY OR INDIRECTLY); (II) ANY LOSS OF GOODWILL; (III) ANY LOSS OF OPPORTUNITY; (IV) ANY LOSS OF DATA SUFFERED BY YOU; OR (V) ANY INDIRECT OR CONSEQUENTIAL LOSSES WHICH MAY BE INCURRED BY YOU. ANY OTHER LOSS WILL BE LIMITED TO THE AMOUNT PAID BY Your Employer TO FEISHU TECHNOLOGY WITHIN THE LAST 12 MONTHS.

ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU AS A RESULT OF:

ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF ANY ADVERTISING, OR AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY ADVERTISER OR SPONSOR WHOSE ADVERTISING APPEARS ON THE SERVICE;

ANY CHANGES WHICH WE MAY MAKE TO THE SERVICES, OR ANY TEMPORARY CESSATION IN THE PROVISION OF THE SERVICES (OR ANY FEATURES WITHIN THE SERVICES) NOT ACCORDING TO THE PROVISIONS OF THIS AGREEMENT;

YOUR FAILURE TO PROVIDE US WITH ACCURATE ACCOUNT INFORMATION; OR

YOUR FAILURE TO KEEP YOUR PASSWORD OR ACCOUNT DETAILS SECURE AND CONFIDENTIAL.

THESE LIMITATIONS ON OUR LIABILITY TO YOU SHALL APPLY WHETHER OR NOT WE HAVE BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING.

YOU UNDERSTAND AND AGREE THAT THESE LIMITATIONS ON OUR LIABILITY TO YOU SHALL APPLY IF WE FAIL TO AVOID, WITH OUR REASONABLE EFFORTS, ANY LOSS CAUSED TO YOU BY DELETION OF OR FAILURE TO STORE ANY CONTENT OR OTHER COMMUNICATION DATA KEPT OR TRANSMITTED BY YOU THROUGH OR IN THE PROCESS OF YOUR USE OF THE SERVICES OR THE CRASH OR DAMAGE OF SUCH CONTENT OR DATA.

YOU ARE RESPONSIBLE FOR ANY MOBILE CHARGES THAT MAY APPLY TO YOUR USE OF OUR SERVICES, INCLUDING TEXT-MESSAGING AND DATA CHARGES. IF YOU’RE UNSURE WHAT THOSE CHARGES MAY BE, YOU SHOULD ASK YOUR SERVICE PROVIDER BEFORE USING THE SERVICES.

12. Data Usage

Using the Services on mobile applications may use some of your data allowance available on the data plan to which you have subscribed with your mobile network operator. International usage may lead to significantly higher costs than regular usage, and you are solely responsible for keeping yourself informed and paying for any possible charges levied by your mobile network operator.

13. No Access to Emergency Services

The Services do not provide access to emergency services such as police, fire departments, or hospitals, or otherwise connect to public safety answering points. You should be sure you can contact your relevant emergency services providers through a mobile, fixed line telephone, or other service.

14. Other Terms

A．Entire Agreement. These Terms (together with an applicable Subscription Agreement, if any) constitute the whole legal agreement between you and Feishu Technology and govern your use of the Services and completely replace any prior agreements between you and Feishu Technology in relation to the Services.

B．Provisions on Use by Minors. If you are a minor under the age of 18, you may use the services of this Platform only after you have carefully read this agreement under the guardianship and guide of, and with the consent of your guardian. The company attaches great importance to the protection of minors’ Personal Data. Inserting Personal Data, a minor shall strengthen the consciousness of personal protection and act prudently and shall properly use the services of this Platform under the guide of such minor’s guardian.

A minor user understands that he/she and his/her guardian shall bear all potential legal liabilities arising from his/her violation or breach of laws, regulations, or the provisions of this Agreement according to legal provisions.

Special prompts for minor users:

(a) A minor shall use the Software and relevant services under the supervision and guide of his/her guardian, properly learn about and use the Internet within a reasonable scope, avoid indulging in the virtual cyberspace, and form a good surfing habits.

(b) A minor user must abide by the National Internet Civilization Convention for Teenagers as follows:

(1) To be good at online learning and not to browse bad information;

(2) To communicate honestly and friendly and not to insult or cheat others;

(3) To improve self-protection awareness and not to date a net friend at random;

(4) To maintain the network security and not to break the network order; and

(5) To be beneficial to physical and mental health and not to indulge in virtual space.

In order to better protect the minors’ privacy rights and interests, the Company reminds the users that they should prudently post the contents containing the materials concerning minors, and the post thereof shall be deeded as a user’s consent that the minor’s information, portrait, voices and so forth may be displayed by the Software and relevant services and the user permits the company to use and process the contents related to the minor according to this Agreement.

C．No Waiver. Our failure to insist upon or enforce any provision of these Terms shall not be construed as a waiver of any provision or right.

D．Security. We do not guarantee that our Platform will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programmes and platform to access our Platform. You should use your own virus protection software.

E．Severability. If any court with jurisdiction over relevant matters concerned in these Terms rules that any provision of these Terms is invalid, then that provision will be removed from these Terms without affecting the rest of these Terms, and the remaining provisions of these Terms will continue to be valid and enforceable.

F．No Assignment. You may not assign any of your rights or delegate your obligations under these Terms, whether by operation of law or otherwise, without the prior written consent of us. We may assign these Terms in their entirety (including all terms and conditions incorporated herein by reference), without your consent, to a corporate affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets provided, however, that we will notify you of the foregoing in a reasonable manner.

G. There may be multilingual versions of these Terms. If there is any inconsistency or conflict between the terms of each language version, the Chinese version shall prevail.
